Terms of Service

Please read these terms carefully before using Fenly. They govern your access to and use of our Service.

Acceptance of Terms

These Terms of Service (“Terms”) are a legally binding agreement between you (“User”, “you”) and Felipe Linares, operating as Fenly (“Fenly”, “we”, “us”), governing your access to and use of the Fenly platform at fenly.io and all related services, APIs, and tools (“Service”).

By creating an account, accessing, or using the Service in any way — including browsing the website, using the Figma plugin, or accessing the public DS Chat — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Service.

If you are using Fenly on behalf of an organization or company, you represent that you have authority to bind that organization to these Terms, and “you” refers to both you individually and that organization.

Description of the Service

Fenly is a SaaS platform for design system management. The Service currently includes:

  • Tokens Hub — sync and visualize design tokens (variables) from Figma files
  • Components Library — sync and browse Figma components and their variants
  • Documentation Hub — create and manage design system documentation pages
  • DS Guidelines — create and manage design principles, accessibility guidelines, and brand guidelines
  • AI Companion — an AI assistant with context of your design system, powered by Anthropic's Claude
  • Talk to your DS — a shareable, public chat interface where your team can ask questions about your design system without logging in
  • Export — export design tokens as CSS custom properties, Tailwind config, or JSON
  • Figma Plugin — a Figma plugin to sync variables directly from the Figma editor

Fenly is provided on a Software-as-a-Service basis. Features may change over time. We reserve the right to add, modify, or remove features at any time, with or without notice (though we aim to communicate significant changes in advance).

Accounts and Registration

To access most features of the Service, you must create an account. You may register using:

  • Email address + password
  • Sign in with Google (OAuth 2.0)
  • Email OTP (One-Time Passcode — passwordless sign-in)

Authentication is managed by Clerk. By creating an account, you authorize Clerk to process your authentication data as described in our Privacy Policy.

You are responsible for:

  • Providing accurate, complete registration information
  • Keeping your login credentials (password, Figma PAT, plugin sync token) confidential
  • All activity that occurs under your account
  • Notifying us immediately at hello@fenly.io of any unauthorized access or security breach

You must be at least 16 years of age to create an account. We reserve the right to suspend or delete accounts that contain false information or violate these Terms.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service to violate any applicable local, national, or international law or regulation
  • Attempt to gain unauthorized access to any part of the Service, its servers, or databases
  • Reverse-engineer, decompile, disassemble, or attempt to extract the source code of any part of the Service
  • Use automated scripts, bots, scrapers, or crawlers to access or interact with the Service in a way that exceeds normal usage patterns
  • Upload, transmit, or distribute any malware, viruses, or other malicious code
  • Use the Service to send unsolicited messages, spam, or to harass, abuse, or harm any person
  • Misuse the AI Companion or DS Chat to generate harmful, illegal, or malicious content
  • Share, sell, resell, or sub-license access to the Service without our express written permission
  • Use the Service to store, process, or transmit content that infringes on the intellectual property rights of others
  • Attempt to overwhelm, disrupt, or impair the Service through denial-of-service attacks or similar means
  • Circumvent or disable any security features, rate limits, or access controls in the Service

Violations may result in immediate account suspension or termination and, where appropriate, referral to law enforcement.

Your Content and Data

“User Content” refers to all data, content, and materials you upload, import, create, or store through the Service — including design tokens, Figma file IDs, component data, documentation pages, guidelines, and project names.

You retain all ownership rights to your User Content. By storing content in Fenly, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, and display your User Content solely as necessary to provide the Service to you. This license terminates when you delete the content or close your account.

You represent and warrant that:

  • You own or have the necessary rights to the Figma files and content you connect to Fenly
  • Your User Content does not infringe on any third party's intellectual property, privacy, or other rights
  • You have the authority to provide your Figma Personal Access Token and have complied with Figma's Terms of Service
  • Your User Content does not contain sensitive personal data of third parties (e.g., do not store real end-user data as design tokens)
Do not use Fenly to store, process, or share personally identifiable information about third parties (such as end-users of your product) unless you have their explicit consent and a lawful basis to do so.

We do not claim ownership of your design system data. We will not use your design tokens, components, or documentation to train AI models or share with other users.

AI Features — Disclaimers and Limitations

Fenly includes AI-powered features (“AI Features”), including the AI Companion and the Talk to your DS public chat, powered by Anthropic's Claude language model.

AI outputs are generated automatically and may contain inaccuracies, errors, or outdated information. Always verify AI-generated suggestions before applying them to production design systems.

By using AI Features, you acknowledge and agree that:

  • Your prompts and design system context (token names and values, component names, doc titles) are sent to Anthropic's API for processing. Anthropic's Privacy Policy and usage policies apply to that processing.
  • AI outputs do not constitute professional legal, financial, accessibility compliance, or design advice
  • Fenly is not responsible for decisions made based on AI-generated content
  • You must not use AI Features to generate content that is harmful, illegal, discriminatory, or that violates any third party's rights
  • AI response quality depends on the quality and completeness of your design system data — incomplete or inconsistent data may produce suboptimal responses

The public DS Chat feature allows any person with your chat link to send messages about your design system without logging in. You are responsible for configuring appropriate access controls (password protection, domain restriction) and for the content you make accessible through this feature.

Figma Integration

Fenly integrates with Figma via the Figma REST API and Figma Plugin API. By connecting your Figma account to Fenly, you agree to:

  • Comply with Figma's Terms of Service and Developer Policy
  • Only connect Figma files you have permission to access and share
  • Accept that Fenly reads (but never writes to) your Figma files — we access variables and components only, not file content, history, or other assets

Your Figma Personal Access Token (PAT) is stored in our database (encrypted at rest) and used exclusively to make Figma API calls on your behalf. We strongly recommend using a PAT scoped to minimum required permissions (read-only variables and files). You can revoke your PAT from your Figma account settings at any time.

Plans, Pricing, and Payment

Fenly currently offers a free tier. Paid plans (Pro, Team) may be introduced in the future. If and when paid plans are offered:

  • Pricing will be displayed clearly before purchase
  • Subscriptions will automatically renew unless cancelled
  • You may cancel your subscription at any time; access continues until the end of the current billing period
  • We will provide at least 30 days' notice of price changes for existing subscribers
  • Refunds are handled on a case-by-case basis — contact hello@fenly.io

All prices are in USD unless stated otherwise. Applicable taxes may be added based on your location.

Intellectual Property

Fenly's IP: The Service, including its design, code, branding, logos, trademarks, UI/UX, and all technology (excluding User Content), are the exclusive property of Felipe Linares / Fenly. Nothing in these Terms grants you any ownership or license in Fenly's intellectual property except the limited right to use the Service as described.

Your IP: You retain all rights to your User Content, including your design tokens, components, and documentation. Fenly does not claim ownership of any design assets you connect to the Service.

Feedback: If you submit ideas, suggestions, or feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use and incorporate that feedback without any obligation to compensate you.

Third-Party Services and Links

The Service integrates with third-party platforms including Figma, Google (OAuth), Clerk (authentication), Supabase (database), Vercel (hosting), and Anthropic (AI). Your use of these services is governed by their respective Terms of Service and Privacy Policies, which are independent of Fenly.

We are not responsible for the availability, content, security, or practices of any third-party services. Outages or changes in third-party services (including Figma API changes or Anthropic API availability) may affect Fenly's functionality.

Service Availability and Uptime

We aim to provide a reliable Service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (communicated in advance when possible)
  • Unexpected outages in our infrastructure or third-party services
  • Events outside our reasonable control (force majeure)

We will make reasonable efforts to restore service promptly. We do not provide SLA guarantees on the free tier.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by applicable law, Fenly expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
  • That the Service will meet your specific requirements or expectations
  • That the Service will be uninterrupted, error-free, or free of viruses
  • That AI-generated outputs will be accurate, complete, or suitable for any purpose
  • The accuracy or reliability of any information obtained through the Service

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Fenly, its owner, affiliates, or service providers be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Damages arising from unauthorized access to your account (where you failed to keep credentials confidential)
  • Loss or corruption of your design system data (we recommend exporting regular backups)
  • Damages arising from your reliance on AI-generated outputs
  • Damages from third-party service outages (Figma, Google, Anthropic, Vercel, Supabase, Clerk)

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the greater of (a) the amount you paid to Fenly in the 12 months preceding the claim, or (b) USD $50.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Fenly, its owner, and its service providers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your User Content
  • Your violation of these Terms or any applicable law
  • Your violation of any third party's rights
  • Your use of the Service in violation of Figma's, Google's, or Anthropic's Terms of Service

Termination

By you: You may delete your account at any time from your account Settings. Upon deletion, your personal data and User Content will be removed from our active database within 30 days (backup copies may persist for up to an additional 30 days).

By Fenly: We reserve the right to suspend or terminate your account, with or without notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is involved in fraudulent, abusive, or illegal activity
  • Continued operation of your account poses a risk to the Service or other users
  • A court order or regulatory authority requires us to do so
  • We decide to discontinue the Service (with at least 30 days' notice where commercially reasonable)

Upon termination, all licenses granted to you immediately terminate. Sections that by their nature should survive termination (including IP, liability, indemnification, and governing law) will survive.

Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable international law. We aim to resolve any disputes informally — please contact us at legal@fenly.io before initiating any formal proceedings.

If you are located in the European Union, you may also contact your local data protection authority (supervisory authority) regarding complaints about our processing of your personal data.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Updating the “Last updated” date at the top of this page
  • Sending an email to your registered address for significant changes (at least 14 days before the changes take effect)
  • Displaying a notice in the Fenly dashboard

Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and delete your account.

Miscellaneous

Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fenly regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will remain in full force.

No waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Language: These Terms are written in English. If translated, the English version controls in case of any conflict.
